Nigel D.T. Andrews
Mr. Andrews has been a member of Mikronites Board of Directors since December 2002.
As a senior executive for 13 years, Mr. Andrews was closely involved in the transformation of General Electric by its former CEO, Jack Welch. Mr. Andrews currently serves in an advisory capacity for Dimensional Media and Internet Capital Group (ICG) where he served as Managing Director from 2000 to 2001. He is a Board Member of Great Lakes Chemical Corporation and is Chairman of the Board of Integrated Color Solutions., Inc.
Mr. Andrews began his 13-year career at GE as Vice President Corporate Business Development. Over the years, he also worked as a VP of several business units, including GE Silicones, GE Plastics-Americas and as the Executive Vice President of GE Capital Corporation. He ended his career in GE Capital in the Office of the CEO.
Preceding his tenure at GE, Mr. Andrews was a consultant and then Vice President at Booz-Allen & Hamilton for nearly a decade. He was also the managing director and CEO of a small training and education software company early in his career. Additionally, he worked at Shell International Chemical Company in the plastics and chemical business units for six years.
Mr. Andrews holds an MBA from the London Business School and a Bachelor of Science in Chemical Engineering from the University of Sheffield in England.
Mr. Andrews is also a shareholder of the company with holdings in Preferred Series B and E.
Michael A. Carpenter
Mr. Carpenter has been a member of Mikronites Board of Directors since July 2004.
Mr. Carpenter is the Chairman and Chief Executive Officer of Citigroup
Global Investments, which invests proprietary capital and customer funds
globally in various alternative investment vehicles in private equity, hedge
funds, real estate, credit structures and other alternative investments. He is also a member of the Citigroup Business
Heads and Management Committees.
Previously, Mr. Carpenter was Chairman and Chief Executive
Officer of Citigroups Global Corporate & Investment Bank, with
responsibility for Salomon Smith Barney Inc. and Citibanks corporate banking
activities globally. The combination
created the preeminent corporate and investment banking institution and what
many have called the new model for financial services companies. Mr. Carpenter was named Chairman and CEO of
Salomon Smith Barney in 1998, shortly after the merger that created Citigroup.
Before that, he was Chairman and CEO of Travelers Life &
Annuity and Vice Chairman of Travelers Group Inc., responsible for strategy and
business development. Prior to this
position, from 1989 to 1994 he was Chairman of the Board, President and CEO of
Kidder, Peabody Group Inc., a wholly owned subsidiary of General Electric
Company.
From 1986 to 1989, Mr. Carpenter was Executive Vice
President of GE Capital Corporation. He first joined GE in 1983 as Vice
President of Corporate Business Development and Planning, and was responsible
for strategic planning and development as well as mergers and acquisitions.
Before joining GE, Mr. Carpenter spent nine years as Vice
President and Director of the Boston Consulting Group and three years with
Imperial Chemical Industries of the United
Kingdom.
A native of London,
Mr. Carpenter received a Bachelor of Science degree from the University of
Nottingham, England, in 1968 and an M.B.A. from the Harvard
Business School
in 1973. Mr. Carpenter also holds an
honorary degree of Doctor of Laws from the University
of Nottingham. Mr. Carpenter is also a member of the Board for
the New York City Investment Fund.
Mr. Carpenter is also a shareholder of the company with holdings in Preferred Series E.
Harry S. Cherken, Jr.
Mr. Cherken has been a member of Mikronites Board of Directors since January 1999, and
is Co-Chair of the Real Estate Practice Group at Drinker, Biddle & Reath, LLP, which is part of the firms Business & Finance Department, having joined the firm in 1979. From 1996 to 2000 he also served as a managing partner of the firm. Mr. Cherken has significant expertise in general corporate representation, corporate portfolio management, leasing, development and inbound international investment.
Mr. Cherken has a BA in Economics from Lafayette College and a law degree from Villanova Law School. He is a former Associate Counsel of the Philadelphia based real estate firm of Albert M. Greenfield & Co. Mr. Cherken is a board member of the Armenian Assembly of America, the Reading Terminal Market Preservation Fund, the Woodmere Art Museum, the Kulicke Fund and the Balch Institute. He is also a member of the Board of Directors of Urban Outfitters, Inc.
Mr. Cherken is also a shareholder of the company with holdings in Common Stock as well as Preferred Series A, B, D, and E.
Jeffrey H. Coats
Jeffrey Coats has been President, CEO, and Board Member of Mikronite since February 2002. Since August 2001, Mr. Coats has also been Managing Director of Maverick Associates LLC, a financial consulting and investment company.
From July 1999 to July 2001, Mr. Coats was a Founder and Managing Director of TH Lee Global Internet Managers, L.P., a fund focused on making equity investments in eCommerce and Internet-related companies globally. He remains a limited partner of the fund. He served as Managing Director of GE Equity, Inc., a wholly-owned subsidiary of General Electric Capital Corporation, from April 1996 to July 1999. He led GE Equitys Consumer Group, which included strategic and financial investments in the Internet, eCommerce, media and entertainment, retail and consumer products and services. Many of these investments were made in conjunction with other GE operating subsidiaries, including NBC, GE Lighting and GE Appliances.
Mr. Coats has also held various positions, including as Managing Director, of GE Capital Corporate Finance Group, Inc., a wholly-owned subsidiary of General Electric Capital Corporation, from June 1987 to April 1993. From May 1993 to April 1996, he was a partner in two separate private investment firms. Before joining GE Capital, Mr. Coats spent 6.5
years with Continental Illinois National Bank & Trust Company of
Chicago, initially as a political analyst and country credit officer for various Middle Eastern countries and finally as a corporate banker
handling various general, financial services and entertainment companies in Los Angeles.
Mr. Coats holds a BBA in Finance from the University of Georgia and an MBA in International Management from the American Graduate School of International Management. He is a member of the board of directors of Autobytel Inc. and the Congoleum Corporation, both publicly traded, as well as Fuel Outdoor, LLC.
Mr. Coats is also a shareholder of the company with holdings in Preferred Series B, D, and E.
Michael S. Demurjian
Mr. Demurjian has been Vice President of Sales and a Board Member since 1999. From 1990 to 1998, he was an investor in, and/or developer of, various properties including Martells, the oldest restaurant and bar in the Yorkville section of Manhattan and various renovation projects in Manhattans Uptown Empowerment Zone.
From 1987 to 1989, Mr. Demurjian was a member of the Detroit Lions team of the National Football League. He received a BA in Economics from New York University in 1986.
Mr. Demurjian is also a shareholder of the company with holdings in Common Stock as well as Preferred Series B, D, and E.
Robert S. Grimes
Mr. Grimes has been a member of Mikronites Board of Directors since December 2002.
From July 1996 through March 2002, Mr. Grimes was co-founder and served as Executive Vice President of Autobytel Inc., the worlds largest Internet based car-buying service and since April 2002, has served as a consultant and is a director of the company. Mr. Grimes has been President of R.S. Grimes & Co. Inc. a joint venture organization since April 1987. From April 1981 to March 1987, he was a general partner with the investment firm Cowen & Company.
Mr. Grimes holds a BS from the Wharton School of Commerce and Finance at the University of Pennsylvania and an LLB from the University of Pennsylvania Law School. He serves on the boards of Philips International Realty Corp., a New York Stock Exchange listed company since April 1998 and Integrated Color Solutions, Inc. and SpaFinder Company.
Mr. Grimes is also a shareholder of the company with holdings in Preferred Series B and E.
Steve E. Hoffman
Mr. Hoffman has been Vice President, Chief Technology Officer, and Chairman of the Board since 1996. He attended New York University and Rutgers University with a concentration in mechanical engineering from 1980 to 1984 and continued his studies directly with the chairman of the physics department at the University of Michigan specializing in physics and electro-optics.
Mr. Hoffman is the recipient of numerous patents and is known and well respected in the fields of robotics, automation, electro-optics and lasers. He oversees all technical aspects of Mikronites implementation of its proprietary technology.
Mr. Hoffman is also a shareholder of the company with holdings in Common Stock as well as Preferred Series B, D, and E.
Mark N. Kaplan
Mr. Kaplan has been a member of Mikronites Board of Directors since December 2002, and
he was a partner of the law firm of Skadden, Arps, Slate, Meagher & Flom LLP from 1979 through 1998 and currently is of counsel to the firm. He is the former President, Chief Operating Officer and Director of Engelhard Minerals & Chemicals Corp. Prior to that he was President and CEO of Drexel Burnham Lambert Inc. from 1972 to 1977. He serves on the Board of Directors of the following companies whose shares are publicly traded: American Biltrite, Inc., Autobytel, Congoleum Corporation, Inc., DRS Technologies, Inc., Grey Advertising, Inc., REFAC Technology Development Corporation and Volt Information Sciences, Inc.
Mr. Kaplan holds an AB from Columbia College and a JD from Columbia Law School.
Mr. Kaplan is also a shareholder of the company with holdings in Preferred Series B and E.
Henry A. Sweetbaum
Mr. Sweetbaum has been a member of Mikronites Board of Directors since December 2004. He has an extensive background in the computer and telecommunications
industries. He has successfully engineered turnarounds, restructurings and
reorganizations, within and outside of the tech-sector, and has had many years
experience in mergers and acquisitions, both on the sell and the buy-sides. Mr.
Sweetbaum is a Principal of PS Capital LLC, an advisory and venture investment
company.
Previously, Mr. Sweetbaum was Chairman and Chief Executive of
Wickes plc, a pan European retailer with sales of approximately $1billion. At
Daylin Inc., Mr. Sweetbaum participated in the successful reorganization of the
Company through Chapter 11 and its sale to WR Grace. In the UK Mr. Sweetbaum
served as Chairman of Huntingdon Securities, which focused on corporate
turnarounds, M&A and private investments.
Mr. Sweetbaum has spent
more than 30-years serving as a Non-Executive Director for numerous companies,
such as Silicon Systems Inc., Ashton Tate Corporation, Decision Data Corporation
and Data Recording Instrument Company Limited, where he was also Non-Executive
Chairman.
Mr. Sweetbaum has published Restructuring The Management
Challenge (Baden-Fuller 1990) and Best Practices, or Just Best People (Directors
& Boards Summer 1995 Edition).
Mr. Sweetbaum serves on the Board of
Overseers at the Wharton School, University of Pennsylvania and he is also a
member of Whartons European Advisory Board and the Board of the SEI Center for
Advanced Studies in Management.
Mr. Sweetbaum received his degree from
the Wharton School, University of Pennsylvania.
Arthur R. Richard
Mr. Richard has been a member of Mikronites Board of Directors since August 2002, and
has been President of Matrix Engineering, an oil refinery engineering firm for almost 22 years and is responsible for the day to day operations of the company. He joined Matrix in 1974 as a project engineer and worked his way up to the presidency in 1980. During his tenure as president, he has overseen not only an increase in revenues from just over $1 million in revenues to over $100 million in revenues but he has also seen the company through a number of acquisition and divestiture transactions.
Mr. Richard holds a BS in Chemical Engineering from the University of Louisiana at Lafayette.
Mr. Richard is also a shareholder of the company with holdings in Common Stock as well as Preferred Series A, B, D, and E.
